Welcome to Presuo, a SaaS platform provided by Recrea Vision S.L. ("Company," "we," "us," or "our") that enables users to create, manage, and collaborate on construction projects, budgets, and related data. These Terms of Service ("Terms") govern your access to and use of the Service, including our website at presuo.com and any associated applications.
By accessing or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
1. Definitions
"Service" means the Presuo SaaS platform, including tools for creating and managing Projects and Budgets, role-based collaboration, document management, and structured cost data import/export subject to plan features.
"User" means any individual accessing or using the Service via an account.
"Billing Owner" means the User designated as financially responsible for one or more Projects, whose account determines subscription, usage limits, and billing.
"Subscription" means the plan assigned to a Billing Owner, defining features, limits, and billing.
"Content" means all data, documents, budgets, projects, and materials submitted, uploaded, or generated by Users.
"Project" means a collaboration unit containing Budgets, documents, and members.
"Budget" means a structured cost document within a Project.
2. Service Description
The Service provides account-based tools for project and budget management, including role-based access (Project Owner, Budget Editor, Budget Viewer), document uploads, and exports/imports gated by plan features. It supports English, Spanish, and French interfaces.
The Service does not provide separate workspaces or organizations; billing and quotas aggregate at the Billing Owner level across all their Projects.
The Service supports workflows but does not replace professional judgment, legal advice, or independent verification.
3. Account Registration and Access
Access requires a valid email address and completion of signup or invitation acceptance. Accounts are individual, non-transferable, and require secure password management.
We use third-party providers for email delivery (including signup, invitations, and password resets) and do not guarantee delivery timing or success due to such dependencies.
Invitations may expire (e.g., signup invitations after 30 minutes and collaboration invitations after 7 days).
You must be at least 18 years old or otherwise have legal capacity to enter into these Terms. If you use the Service on behalf of an entity, you represent that you have authority to bind that entity.
4. Roles, Permissions, and Collaboration
The Service enforces role-based permissions, including:
- Project Owner: Manage projects, budgets, invitations, and members; cannot remove themselves if they are the last owner or the Billing Owner.
- Budget Editor: Edit budgets and manage invitations.
- Budget Viewer: View-only access.
Permissions may derive from both project-level and budget-level memberships, with higher privileges taking precedence.
The Billing Owner cannot be removed or downgraded without transferring billing responsibility. A Project must always have at least one Project Owner.
Owners may grant, modify, or revoke access at any time, subject to system constraints.
5. Subscription Plans and Features
Subscriptions define available features, usage limits, and billing terms.
Plans may include functionality such as data export/import, document management, tagging, and advanced permissions.
A default free plan may apply upon account creation. Only plans designated as selectable are available for self-service subscription.
Features described as “unlimited” may be subject to technical constraints, fair usage policies, or internal limits necessary to ensure system performance and stability.
6. Usage Limits and Enforcement
Usage limits may apply to resources such as projects, budgets, measurements, members, file storage, and file size.
Limits are aggregated at the Billing Owner level across all associated Projects.
When limits are reached:
- Certain actions (e.g., creating projects or budgets, sending invitations, uploading documents) may be blocked;
- Existing Content generally remains accessible;
- Deletion actions remain available.
Enforcement may not apply uniformly across all features and may vary depending on the specific operation.
7. Acceptable Use and Fair Usage
You agree to use the Service in a lawful and reasonable manner consistent with its intended purpose.
You must not:
- Circumvent or attempt to circumvent usage limits or technical restrictions;
- Use automated systems or scripts that generate excessive load or disrupt the Service;
- Exploit features labeled as “unlimited” beyond reasonable usage;
- Upload or process content in a way that degrades system performance or availability.
The Company may enforce fair usage limits, including on features labeled as “unlimited,” to maintain system integrity and performance.
8. Subscription Changes
Upgrades
Upgrades take effect immediately and may trigger prorated billing.
Downgrades
Downgrades typically take effect at the end of the billing period.
Downgrade requests:
- May be unavailable or denied if current usage exceeds the limits of the target plan;
- May be restricted if a downgrade is already scheduled;
- May lock further billing changes until canceled.
Until the downgrade becomes effective, current entitlements remain active.
9. Pricing and Changes
The Company may update subscription fees, plan structures, features, or usage limits with at least 30 days’ notice before the next renewal.
Such changes apply at the start of the next billing cycle and do not affect the current paid period.
Continued use of the Service after the effective date constitutes acceptance of the updated pricing.
Prices may exclude applicable taxes. Taxes are calculated and collected by the payment provider.
10. Billing, Payments, and Invoices
Payments are processed by Stripe or other third-party providers. By subscribing to a paid plan, you authorize recurring billing and automatic renewal unless canceled.
Billing operations, including upgrades, renewals, or status updates, may be processed asynchronously and may not take effect immediately.
Failure to complete payment may result in restricted access to certain features.
11. Payment Failures and Grace
Payment failures may trigger a grace period during which retries are attempted by the payment provider.
The duration and conditions of any grace period are determined by the payment provider and may vary.
If payment is not recovered, the account may be restricted, and certain actions (e.g., creating or modifying Content) may be blocked while read access remains available.
12. Refunds
Refunds are discretionary and may be granted on a case-by-case basis (e.g., duplicate charges or billing errors). No refunds are guaranteed, except where required by applicable law.
13. Suspension and Termination
By the Company
The Company may suspend or restrict access to the Service in cases of:
- Non-payment;
- Violation of these Terms;
- Suspected abuse, fraud, or security risks;
- Operational or technical reasons.
By the User
You may cancel your subscription through the payment provider or by contacting support.
Superusers may delete accounts and associated resources upon request or when necessary due to abuse, fraud, or security concerns.
Effects of Termination
Access to paid features continues until the end of the current billing period unless earlier suspended.
Upon termination, the Company may delete or retain Content in accordance with its data retention practices and applicable legal obligations.
14. Data Ownership, Retention, and Deletion
You retain ownership of your Content. The Company is granted rights to store, process, and display Content solely to provide the Service.
The Service stores operational data, uploaded documents, generated files, and system logs.
Retention practices may include:
- Temporary storage of generated files (e.g., exports);
- Scheduled deletion of certain processing artifacts;
- Retention of system logs for operational and legal purposes.
Project or Budget deletion may result in permanent removal of associated data.
Superusers may delete accounts and associated Content when required.
No archive or restoration functionality is guaranteed.
15. Intellectual Property
The Company retains all rights, title, and interest in the Service, including software, interfaces, and documentation.
You are granted a limited, non-exclusive, non-transferable license to use the Service during your Subscription.
Any feedback provided may be used by the Company without restriction.
16. Third-Party Services
The Service depends on third-party providers (including payment processors, email services, and storage infrastructure).
The Company is not responsible for failures, delays, or interruptions caused by such services, including delivery failures, processing delays, or temporary inconsistencies.
17. Service Availability
The Service is provided on an “as is” and “as available” basis.
The Company does not guarantee uninterrupted availability, uptime, or error-free operation. Certain features may depend on asynchronous processing or third-party systems.
18. Support
Support may be provided via designated channels (e.g., email), but no guaranteed response times or service levels are committed.
19. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for indirect, incidental, or consequential damages, including loss of data, revenue, or business opportunities.
Total liability shall not exceed the amount paid by the User in the 12 months preceding the claim.
Nothing in these Terms excludes liability where such exclusion is not permitted by law.
20. Changes to Terms and Service
The Company may update these Terms or the Service with prior notice.
Material changes may allow you to terminate your Subscription before they take effect.
Continued use of the Service constitutes acceptance of the updated Terms.
21. Governing Law and Disputes
These Terms are governed by the laws of Spain. Disputes shall be subject to the jurisdiction of the courts of Madrid, unless mandatory consumer protection laws provide otherwise.
22. Miscellaneous
- Survival: Certain provisions survive termination, including liability, payment, and intellectual property clauses.
- Entire Agreement: These Terms constitute the entire agreement between the parties.
- Severability: Invalid provisions are severed without affecting the remainder.
- No Waiver: Failure to enforce a provision does not constitute waiver.
- Assignment: The Company may assign these Terms; Users may not without consent.
